1. Who We Are

Ultra Skills is operated in Italy. Throughout these Terms, "we", "us", and "our" refer to Ultra Skills. "You" refers to any person accessing this website or using our services.

2. Acceptance of Terms

By accessing or using ultra-skills.com, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, you must not use our website or services.

We may update these Terms at any time. The "Last updated" date at the top reflects the most recent revision. Continued use after changes constitutes acceptance. Material changes will be communicated via email to registered users.

3. Services

Ultra Skills provides:

  • AI infrastructure consulting — content pipelines, workflow automation, and operational systems for lean teams.
  • Free resources — cheat sheets, comparison guides, and curated tool lists available via the website, some requiring email registration.
  • Blog content — articles on AI automation, workflow architecture, and infrastructure.
  • Digital products — skill packs, workflow templates, and training materials (when available).

Service scope and deliverables for consulting engagements are defined in individual agreements executed after a discovery call. These Terms govern the use of our website and digital offerings.

4. Free Resources and Email-Gated Content

Certain resources require you to provide your email address before access is granted. By submitting your email:

  • You consent to being added to our mailing list (powered by Brevo) for the purpose of delivering the requested resource and occasional relevant updates.
  • You can unsubscribe at any time via the link in every email.
  • Your email is stored in accordance with our Privacy Policy and GDPR requirements.

5. Digital Products

When digital products become available for purchase on this website, the following terms apply:

  • Products are delivered as downloadable digital files.
  • You receive a personal, non-exclusive, non-transferable license to use purchased products in your own projects.
  • Redistribution, resale, or sharing of purchased products is not permitted.

5.1 Right of Withdrawal (EU Consumer Rights)

Under the EU Consumer Rights Directive (2011/83/EU), you have a 14-day right of withdrawal for online purchases. However, for digital content supplied on a non-tangible medium, this right is waived upon delivery if:

  • You expressly consented to immediate delivery; and
  • You acknowledged that you lose your right of withdrawal once the download begins.

This consent is collected at checkout. If delivery has not started, you may request a full refund within 14 days by contacting info@ultra-skills.com.

5.2 Conformity Guarantee

In accordance with EU Directive 2019/770 (Digital Content Directive), digital products must conform to their description and be fit for purpose. If a product is defective or does not match its description, you are entitled to a remedy (repair, replacement, or refund) within 2 years of delivery.

6. Consulting Services

Consulting engagements are governed by individual agreements signed after a discovery call. Project scope, timeline, deliverables, and fees are defined per engagement.

We reserve the right to decline projects that fall outside our expertise or capacity. Work product created during consulting engagements is owned by the client upon full payment, unless otherwise agreed in writing.

7. Intellectual Property

All content on this website — including text, design, code, graphics, logos, and UI components — is owned by Ultra Skills or its licensors and protected under Italian copyright law (Legge 22 aprile 1941, n. 633) and EU Directive 2001/29/EC.

You may not reproduce, distribute, or create derivative works from any website content without prior written permission, except for personal, non-commercial use (e.g., saving a resource for your own reference).

8. User Conduct

You agree not to:

  • Use our services for any unlawful purpose.
  • Attempt to gain unauthorized access to our systems or infrastructure.
  • Redistribute purchased digital products.
  • Submit false, misleading, or automated (bot) information through our forms.
  • Scrape, crawl, or systematically extract content from this website beyond what is permitted by robots.txt.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Ultra Skills shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our website, services, or products.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or death/personal injury caused by negligence.

For consulting services, our total aggregate liability shall not exceed the fees paid by you for the specific engagement giving rise to the claim.

10. Data Protection

Your personal data is processed in accordance with our Privacy Policy, which complies with the General Data Protection Regulation (EU 2016/679) and Italian Legislative Decree 196/2003 (as amended by Legislative Decree 101/2018).

You have the right to access, rectify, erase, restrict, and port your personal data, as well as to object to processing. See our Privacy Policy for details on how to exercise these rights.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in Italy.

If you are a consumer residing in the EU, you retain any mandatory consumer protection rights afforded to you under the laws of your country of residence, and you may bring proceedings in the courts of your country of residence.

For online dispute resolution, EU consumers may use the European Commission's ODR platform at ec.europa.eu/consumers/odr.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
